Item 8.01 Other Events

On January 16, 2025, notice was provided to investors that Veritex Holdings, Inc. ("the Company") will redeem all $75.0 million of its 4.75% Fixed-to-Floating Rate Subordinated Notes (the "2019 Notes"). The 2019 Notes were issued in a private placement transaction to certain qualified institutional buyers and accredited and were registered under the Securities Act effective February 13, 2020. The 2019 Notes were issued under an indenture for Fixed-to-Floating Rate Subordinated Notes dated November 8, 2019, between the Company, as issuer, and UMB Bank, N.A., as trustee. On November 15, 2024, the interest rate on the 2019 Notes began accruing at a floating rate equal to the secured overnight financing rate, as determined quarterly on the determination date for the applicable interest period, plus 347 basis points.

The 2019 Notes will be redeemed at par plus accrued interest upon the next repricing date on or around February 18, 2025. The principal and accrued interest at the redemption date will be paid with cash on hand.
